Hidden Traps to Success 
The naive believes everything: but a wise man looks well to a matter. – Proverbs 14:15 
Solomon reveals that a similar kind of trap in your personal or professional life can have
an equally devastating effect. What is the name of that hidden trap? Naiveté. And it can
ambush anyone, regardless of their intelligence, education, financial success, or personal
achievements.
Naiveté and IQ 
Naiveté has less to do with intelligence and more to do with the way a person approaches
individual situations and life in general. A naive person tends to oversimplify a situation
and thereby fails to see critical factors that may significantly affect an outcome.
Solomon describes a person as naive when he or she doesn’t “look well into a matter”
before choosing a course of action.
Oversimplification – In Proverbs 1:22, Solomon chides, “How long, O naive ones, will
you love simplicity?” Important decisions are never simple. Dig deeper.
Presumption In Proverbs 27:1, Solomon warns, “Do not boast about tomorrow for you
do not know what a day may bring forth.”
Misplaced Trust – We often put more trust than we should in people whom we don’t
know well. More often than not, people are less capable, less experienced, less competent,
and less honest than they seem to be. People always put their best foot forward, and we
usually make judgments of them in a matter of minutes or seconds.
Superficial Appearances – Our response to a person or a situation is often based entirely
upon appearances. A person may be charismatic or extremely personable, or a business
opportunity may appear extraordinary at first glance. But appearances almost never tell
enough of the story to base any important decision upon.
Laziness – Our natural inclination is to do as little as possible to get what we want. The
same is true in the decision-making process. “Looking well into a matter” requires a lot
more effort and creativity than simply accepting a statement or person at face value.
Haste – When we are in a hurry to make a decision, we will usually make it without
taking enough time to look into the matter thoroughly. In Proverbs 21:5, Solomon warns,
“But everyone who is hasty comes surely to poverty.”
Narrow Vision – More often than not, our vision is far too limited to make the best
decision based only on our own knowledge and experience. Solomon cautions in
Proverbs 15:22, “Without counsel plans are frustrated, but with many counselors they
succeed.”
Integrity – Honest people never think of lying, stealing, or defrauding someone of their
life savings. Such thoughts are so foreign to their character they can’t imagine anyone
else doing such things to them.
Greed – Wrong motives for making a decision can lead you to detrimental circumstances.
Arrogance – Arrogant people often think they’re smarter than everyone else. They don’t
feel they need to seek outside counsel or perform due diligence—they already know what
they need to know. Solomon said, “Pride goes before destruction, and an arrogant spirit
before a fall.” (Proverbs 16:18)
Wrong Priorities – Sometimes a person chooses not to look in depth into a matter before
making an important decision, because they don’t think due diligence is that important.
The Solution 
Diligence is like a giant floodlight: turn it on, and naiveté’s darkness disappears.
Look well into a matter before making any important decision. If a person is truly honest,
they will respect your thoroughness and welcome any due-diligence efforts you
undertake.
Don’t Be Naive When It Comes to Making Wrong Choices 
In Proverbs 22:3, Solomon warns us, “The prudent sees the evil and hides himself, But
the naive go on, and are punished for it.”
Most people rarely find themselves in unethical or illegal situations by surprise. Usually,
they see a red or yellow flag or two first. At that point, they have a choice. Solomon tells
us that a wise man will turn away. Those who are naive, however, see the red flag, feel a
twinge in their conscience, and then choose to keep moving in the same direction.
“There Is a Way That Seems Right . . .” 
In Proverbs 14:12, he says, “There is a way that seems right to a man, but in the end it
leads to death.” Diligently looking into a matter will ensure that doesn’t happen.
How to Make Wise Choices 
 
Choose to Look Well into Matters. 
Seek Outside Counsel – Over and over again in Proverbs, Solomon cautions us to seek
outside counsel. His advice is clear, his wisdom undeniable. Follow it.
Choose Your Friends and Associates Wisely – In Proverbs 13:20, Solomon writes, “He
that walks with wise men shall become wise. But a companion of fools shall be
destroyed.”
But you should be careful about whom you partner with or attach yourself to in any
significant way. Look at a person’s wisdom and integrity. Be sensitive to any red flags
that would warn you of dishonesty. Look at what their priorities are and how they order
their lives. How do they treat their parents, spouse, siblings, or children? What do they
value most? Don’t let yourself become the companion of fools.
Being Prudent Is a Choice You Must Make Every Day 
Being prudent is a decision that needs to be made every time you face an important
decision in any area of your life. Whether you are facing a business decision, a financial
decision, or a personal decision, choose first to “look well into the matter.”

“Who do you want to hitch your wagon to? Someone who HAS been paid, or someone who THINKS they will be paid?”

The Bad:

The president of the offshore New Zealand program terminated our agreement unilaterally last month after I introduced dozens of clients, prospective clients and referral partners.

He threatened to come to my home and shoot me. My wife and children overheard and became frightened. I reported the matter to the Antioch CA P.D. at their urging fearing for their safety and mine. I have the incident report number and badge number of the officer.

Isn’t that sad?

This is a man whom I have known for almost five years. We socialized. I have shared meals with he and his wife. He called me his friend, buddy, pal and other endearing terms to dozens on five live recorded conference calls. Now he stiffs me for $100,000 +/- in commissions and steals my clients and referral partners.

Is this the type of person you should trust with your money?

The Ugly:

The president of the offshore New Zealand program has been libeling me and slandering me and the program manager of the Gold Program. Here is an email that I sent him on Thursday July 21, 2011:

I took my instruction from you, Chris. I have the notes from everything that you said. I also have the five live recordings where you said you would not allow circumvention not once but multiple times on multiple calls. 

 

Why would you say one thing and turn around and do something different?

 

I have clients, prospective clients, and referral partners that have reported that you are libeling and slandering me. 

 

You never had a kind word for Alicia, Irina, Greg, Francisco, David Roth, Robert Lewis, Chris King, Greg Parry, Judy Taylor, Bill Smith, Dwain Wiley, and dozens of others. I have the notes and emails. 

 

Word got back to Greg that you are bad mouthing me and the gold program. We have never bad mouthed you. You claim that you’ve been in business 23 years in New Zealand but there is no record of that. You are claiming that the gold program isn’t real yet we have clients that have been paid every month. 10% is 10%. We don’t charge fees and commissions to the client. We make money on the transactions and arbitrage. The programs (yours and the gold program) are completely different. 

 

Please stop libeling, slandering, bad mouthing, bullying, and lying. 

 

I was your advocate. I was your evangelist. I was your valued and trusted partner. Proof of that is clear in reading what Robert and Alicia are sending out. It’s nearly word for word what I wrote for months in emails, newsletters and web postings and what I stated on calls.

 

You have no business bad mouthing anyone. There is no cause for you to libel or slander me or Greg for your benefit. Stop “Trash Talking.”

 

A trusted adviser is one who is perceived as a “high integrity expert” who is willing and able to help people. Establishing and maintaining that integrity does not involve pointing fingers or launching attacks. Although you think that you’re winning points with clients, prospective clients, and referral partners you’re ultimately undermining yourself and your success by cutting down your own company.

 

Be professional but resist the temptation to join in throwing rocks. Don’t bash your competitors as it sends negative vibes making you look petty . It causes clients, prospective clients, and referral partners to question whether you are trying to compensate for something.

 

Know your competition but don’t spend time trashing them. Chances are you will be inaccurate or will upset the clients, prospective clients, and referral partners who end up coming back and reporting to me and Greg. Focus on what the customer needs and and show how you can deliver it to him or her. Talk about your unique advantage in the market, not your competitor’s problems.

 

If it’s not honest, don’t do it.

 

SW, SW, SW, SW: Some Will, Some Won’t, So What, Someone is Waiting.

 

You know who your competition is. We have no doubt that you perform. The bank world is volatile. We can live with that. There is no reason for you to pull this childish “sand box shxx.” We are not saying anything negative about you. If we’re not a good fit you may be a good fit. You’re performing. We’re performing.

 

If you are good, people will know it. There is no need for you to belittle others. Our track record on the gold program is spotless. Our yields to clients are higher than yours. We’re doing better for our clients than you are for yours. There’s room for both programs and many more programs like them. 

 

This is not a competition. We have similar client pools. We’re not really competing. We don’t have a sub-account. We have a pure trade. We don’t charge management fees. We don’t deduct commissions. We don’t charge early withdrawal penalties. 

 

Clients need to trust both you and us to meet our contractual obligations. There is nothing “imaginary” about our program. 

 

Pay me the balance of what you owe me and pay it today.

The 3 year model is the best option for him, we will be at 70% LTV, with an interest rate of 3 month libor + 350, or roughly 3.80% interest.
The 2 year came back at 65% LTV, Libor plus 400, or 4.30%
Also, due to the size of this loan, we will need the stock retitled to our firm’s name, stock will not be sold unless there is a default on the loan and will be hedged in our book. The stock is returned to the borrower with all appreciation when the loan and all interest is paid in full.

I was wondering if with this program if the returns are guaranteed and if the principle is protected?

I have a couple of questions/issues with the contract.  The bolded areas are sections in the contract.  Please review and provide some insight.  Thanks.

  1. Management

    • Is it common that the Private Placement offering company isn’t a registered financial firm?

Companies that are required to be registered are companies who trade securities etc, FOREX, is not one of those markets that require registration.

  1. Payout Distribution

    • Why doesn’t the contract state the anticipated returns (i.e. 50%)? All of our contracts are left available to edit based off of the specific program that the client is taking advantage of at that time. I believe they sent this contract to you for Brad, more so for him to have the opportunity to review it and ask any questions he may have. When he is ready to move forward, the return can be entered in by hand, or I will personally send through the contract with all points filled in, in regards to returns etc.

    • What goes in the Historical Half Unit Dist. USD box? N/A

  2. Terms of Joint Venture

    • Why doesn’t the terms state I’m going into the the one month bullet for $50,000 with 50% return for a total return of $75,000 in 30 days? See question 1 above, will be in the final contract for signing, or can be entered in by Brad himself when ready to sign off on. I will gladly handle these details if need be, please advise as to his wishes.

    • I like that fact that the contract states, “DEPOSITOR(S) principle is guaranteed from loss.I’m assuming this means the prinicpal (i.e. $50,000) is protected? Exactly, the $50,000 investment will be guaranteed from loss.

  3. Construction

    • The above questions are considered part of the Construction section


How well did you vet FMC given the short turnaround in getting this done?  I couldn’t find much information on the Traders.  I find it hard to believe that Shawon is the actual trader given he just graduated from Indiana University (BA 2005-2009). I am NOT the trader on behalf of FMC, our platform is fully automated. I am co-owner of the FMC and the software that we developed and “own” outright. We have been an automated trading group since the start, and have only improved our system from the start. Bryan  seems like a trader as he designs and programs high-frequency trading algorithms. He nailed it on the head, Bryan used to work for a hedge fund that traded currency…Bryan has also taught myself how to do manual trading so I would have a great understanding of how our platform works inside and out. So while I do manual trading of client funds personally, I have the background needed to run a platform of this nature and be in the position we are currently in to offer this out to clients of interest. Any insights you could provide would be greatly appreciated.  I anticipate having the document back to you first thing in the morning once the questions are answered.  This is my first Private Placement and I don’t want to be involved in a horror story where one gets ripped off.  Thanks for your understanding. In regards to the last statement, I completely understand it and know exactly where he is coming from. These are all questions that should rightfully so should be asked, and I have no problem answering any of them. We ensure that this will be a great first experience for Brad, and look forward to managing his funds for a long time.

This is part of an email that I sent to an “oil man” who has been shopping for a loan for at least two years:

Dale and I were out walking last night. We’ve been friends for more than 33 years. We walk a few miles every night and talk. Trade Structure and Terms:

Trial Trades are for 6 months or 2 /90 day trade cycles in term.  Trial Trades payout once every 90 days for a total of 2 payouts before they end. Trial trades can not be rolled to another 6 month cycle; they must terminate at the end of the 6 months term. They can however, reapply the next trade  season 2011

Trial Trade; are for Investors that are:

·         Skeptical, not sure they wish to commit a larger sum of funds; without seeing how it all works.

·         Investor that has been given so many different program offers, and never had one deliver in the end.

·         Investor that just does not believe, these are not real and that they are all scams.

Some key points:

– Base solely on Accounts Receivable

– Non notification, however if one customer concentration higher than 25% we give the Client the option to let us notify so we can fund more on that one customer.

– Client must commit to a 1, 2, or 3 year contract. Committing to a longer contract helps the rate.

– Pricing:

Prime + 2

Collateral Mgmt fee is between .35% – 1% depending on the deal itself.

Closing fee: 1-1.5% based on amount of line

Ever heard the collection industry phrase “The squeaky wheel gets the grease”?  Experts agree that performing collection calls on your accounts receivable speeds up your receivable turnover and improves your cash flow.  But hiring a staff to handle your collections is no easy task.  A single collection employee can cost you in excess of $50,000 a year in wages, taxes and benefits.  As an asset-based lending client, you’ll have unlimited access to a full staff of courteous and professional collection experts — all at no cost to you.  And staying on top of your past due accounts receivable (“A/R”) ensures that your customers understand how serious you take your business.  Studies prove that consistent and properly managed customer contact reduces your A/R days outstanding, improves customer satisfaction, and increases repeat business.

Rebalance Working Capital — Tie Short-Term Assets to Short-Term Debt

Just ask your accountant — borrowing long term to finance your short-term working capital needs is a bad idea.  Longer term debt, like fully-amortizing term loans, is designed to finance longer term assets such as real estate and equipment.  Shorter term assets, such as accounts receivable, require short term financing — like revolving lines of credit.  So if you’re financing your short term working capital needs with a long term loan, an asset-based revolver can help you get things back in balance.  It may even mean retiring some of the your long term debt to reduce your monthly payment burden.

Avoid Use of Personal Assets (Estate Protection)

Any investment expert will tell you that a business needs to “stand on its own” in order to be worthy of investment.  But if you’re continually supporting your business with personal assets and funding, you’ll never achieve this.  An asset-based revolving line of credit allows you to obtain financial support for your business on its own merit, using your accounts receivable as the principle source of repayment.  But unlike traditional loans that are based on the creditworthiness of the borrower, asset-based revolving credit lines are based on the creditworthiness of your customers.

Qualification Parameters

In general, companies turn to asset-based lending when a bank won’t approve a requested traditional line of credit.  But that doesn’t mean ABL is the province of distressed firms.  Quite the contrary, ABL lines of credit are generally for fast-growing, profitable companies.  The ABL line is designed to allow a growing company to maintain higher debt-to-worth ratios (“financial leverage”) which are typically necessary during high-growth periods.  The credit line size approved for a traditional bank line of credit is typically determined based on looking at sales and profitability for the last 2 to 3 years.  But for a growing company, last year’s financing needs aren’t a good indicator of what a company needs this year.  For these companies, ABL is hugely attractive.  And, during a recession or periods of tight credit, when banks won’t lend to anyone, ABL lines of credit often become the financing of choice even for companies with stable sales and low financial leverage.

Qualification for the ABL revolving line of credit is fairly straightforward.  The three most important factors are:

  1. You must have high-quality accounts receivable.  Credit worthy customers are important, but so is diversification of accounts and invoice documentation.
  2. You must be able to produce monthly financial statements within 30 days of month-end.  This is a crucial element of approval and imparts a level of reporting discipline on the customer.
  3. You must have a good management team in place.  Startup businesses are fine, but there is always a premium placed on experience.

If these attributes describe your business, you have a good chance at obtaining approval for an asset-based revolving line of credit.

Ideal candidates for the ABL product include manufacturers, distributors and wholesalers, service-based businesses like staffing, transportation and printing companies.  ABL lines are not available to consumer-based retailers, construction companies or health care providers.

The ABL line of credit is custom designed to meet the need of individual organizations, offering maximum flexibility and availability of funds.
